Scattersphere Portal - Terms and Conditions of Use

Welcome to the Indeximate Scattersphere® portal (the “Portal”). These Terms and Conditions of Use (“Terms”) form a legal agreement between you, the individual user (“You”), and Indeximate Limited (“We”, “Us”).

Your access to this Portal has been granted to you as an authorised user of your employer or the engaging entity (the “Client”), who has a separate commercial agreement with Us.

By clicking “I Accept” or by accessing and using this Portal, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Portal.

1. Your Right to Use the Portal

We grant you a non-exclusive, non-transferable right to access and use the Portal and the information within it.

As part of this right, you are permitted to download certain designated information such as risks to the cable (with metadata), reports, and Risk Profile Data (collectively, the "Outputs"). You may use these Outputs solely for the Client’s internal business purposes, in accordance with the Client's agreement with Us.

Your right to use the Portal and its Outputs is conditional on the Client’s agreement with Us remaining in effect and your continued status as an authorised user. Except for the Outputs, you may not download, copy, or distribute any other data or content from the Portal.

2. Your Responsibilities and Acceptable Use

You are responsible for all activity that occurs under your account. You agree to:

• Keep your login credentials (username, password, and any multifactor authentication details) secure and strictly confidential.
• Not share your account or login credentials with any other person.
• Notify Us or the Client immediately if you suspect any unauthorised use of your account.
• Use the Portal and its content only for lawful, internal business purposes on behalf of the Client.

You expressly agree NOT to:

• Copy, modify, distribute, sell, or lease any part of the Portal or its content.
• Attempt to reverse-engineer, decompile, or extract the source code of the Portal.
• Use any automated system, such as “robots” or “scrapers,” to access or extract data from the Portal.
• Use the Portal to build a competitive product or service.
• Upload any malicious code, viruses, or harmful data to the Portal.

3. Intellectual Property

All intellectual property rights in the Portal itself, including its software, design, and user interface, belong exclusively to Us.

Furthermore, all data, analytics, risk profiles, reports, and information presented within the Portal (the “Indeximated Data”) are the exclusive intellectual property of Indeximate. You may use this information only as permitted under these Terms.

4. Confidentiality

You acknowledge that all information and data you access within the Portal is Confidential Information. This includes our Indeximated Data as well as the Client’s own operational data. You must treat this information with the highest degree of confidentiality and must not disclose it to any third party without prior written consent from both Us and the Client.

5. Disclaimer on Information and Liability

The information provided in the Portal is intended to be an indicator of subsea cable health and potential risks. It is a decision-support tool, not a guarantee of performance or a definitive prediction of future events.

• The information should be used to plan and guide further inspection and intervention activities.
• It must not be the sole basis for making critical operational, financial, or engineering decisions.
• You and the Client are responsible for verifying findings with other appropriate tools and methods before taking action.

To the fullest extent permitted by law, Indeximate shall not be liable for any costs, losses, or damages arising from decisions made or actions taken based on the information provided in this Portal.

6. Privacy and Your Personal Data

By using the Portal, you acknowledge that We will collect and process your personal information (such as your name, email address, and usage activity) for the purposes of providing and managing your access, ensuring security, and improving the service.

7. Suspension and Termination

We reserve the right to suspend or terminate your access to the Portal immediately and without notice if:

• You breach any of these Terms.
• We are instructed to do so by the Client.
• The commercial agreement between Us and the Client expires or is terminated.

8. General

We may update these Terms from time to time. We will notify you of any significant changes. Continued use of the Portal after such changes constitutes your acceptance of the new Terms. These Terms are governed by the laws of England and Wales.
